MEMORANDUM OF UNDERSTANDING

Between Matthew 25: Ministries (M25M) and the following Mission Partner:

Please Initial next to each statement indicating that you understand the following:
1. Mission Partner verifies they are a properly registered or recognized non-profit organization under the laws of their host country, and Mission Partner will provide and maintain with M25M an IRS determination letter or valid non-profit fiscal registry document.
2. Mission Partner agrees to:

  • Accept required responsibility for all applicable logistical costs associated with the shipment(s) of all donated products originating from M25M, including but not limited to: ocean freight charges, customs clearing fees, applicable inland transportation costs, demurrage costs, and unloading time fees.
  • Accept all products in an “AS IS” condition and to accept responsibility and any potential liability from the performance, condition and use of the donated products.
  • Become aware of any import requirements or tariffs placed by local customs to clear and receive donated products and will communicate these requirements to M25M prior to any shipment.
  • Pay any invoice within 30 days of receipt.
  • Not to sell, barter or exchange products originating from M25M and solely use the products for humanitarian and/or disaster relief purposes.
  • Be sensitive to soliciting donations from M25M donors.
  • Provide a quarterly rolling distribution digital report to M25M of all products received from M25M. The reports shall include the M25M shipment number, name or code of the distributed product, and the name of the end recipient organization, community, or program.
  • Provide M25M with a minimum of five personalized beneficiary stories, pictures and other pertinent information depicting the human impact of the received donated product towards safeguarding the continuity of product donations and permitting M25M to strengthen and personalizing relationships with current and future product donors.
  • Upon receiving the shipment from Matthew 25: Ministries, the partner agrees to post a thank you message on their social media platforms. This post should include photos, acknowledge Matthew 25: Ministries, and highlight the impact of the donated products, as well as the distribution efforts. If the partner does not have social media, they may share this message on their website, blog, or another public platform.
3. M25M agrees to:

  • Maintain high product, packaging and quality standards.
  • Only ship items agreed upon by both M25M and Mission Partner.
  • Issue all required documentation to import shipments of donated goods originating from M25M through local customs, including a letter of donation with load inventory and value to Mission Partner.
  • Inform Mission Partner of any required shipping and/or logistical recovery fees that M25M is aware of prior to loading any shipment.
  • Provide any shipping and or logistical assistance when necessary.
  • Allow Mission Partner to recover from benefactors or beneficiaries the exact shipping and logistical costs incurred to secure product donations from M25M.
4. Freight and Handling Fees

  • In order to continue to serve our numerous partners around the world, M25M requests Mission Partners assist with freight (transportation) costs and handling (logistical recovery) fees associated with each shipment, in accordance with the levels outlined below.

    Mission Partners will progress through the levels based on number of shipments received. Upon reaching Level 3, the Mission Partner will remain at that level for all additional shipments received during the remainder of that calendar year. Beginning January 1 of each subsequent calendar year, the Mission Partner will advance to the next level unless otherwise discussed and confirmed in writing by M25M.
    • Level 1: (1st shipment): Mission Partner may be asked to cover up to 50% of freight costs*
    • Level 2: (2nd shipment): Mission Partner covers full freight costs*
    • Level 3: (3rd shipment + remainder of the calendar year): Full freight costs* + $550 toward handling fees**
    • Level 4: Full freight costs* + $1,100 toward handling fees**
    • Level 5: Full freight costs* + $2,600 toward handling fees**
    • Level 6: Full freight costs* + $4,100 toward handling fees**
    • Level 7: Full freight costs* + $5,600 (full handling fee)**

*Freight costs vary based on destination and current shipping climate.
**Handling fees vary based on shipment size, including pallet count. M25M reserves the right to adjust handling fees annually. Any such adjustment will be communicated in writing prior to implementation.
